Gaming co. Nazara to acquire 50% stake in Spanish firms Bluetile, Bestplay for $100.3-M

Publicly listed Nazara Technologies' UK-based subsidiary is to acquire a 50% stake in Spain-based Bluetile Games and BestPlay Systems for USD 100.3 million. The payment includes USD 59.7 million at the initial closing, with the remaining USD 40.6 million payable within six months.The upfront consideration is primarily funded from Nazara’s cash on its balance sheet. Future payments are expected to be partly funded by the acquired businesses’ cash flows and additional equity/debt, and Nazara has an option to pay up to 25% of the consideration in its equity.Bluetile Games operates a portfolio of casual, social mobile games, which includes titles such as Yatzy, Domino Legends, Mahjong Voyage, and Spade Stars. The platform claims to have garnered approximately 375 million downloads and serves 22 million monthly active users across 17 live games.BestPlay, an in-house rewarded engagement platform, provides an additional 2.2 million monthly active users and acts as an engine for player acquisition, retention, and cross-promotion across its game portfolio.For the 12 months ending December 2025, Bluetile and BestPlay reported combined revenue of USD 153.6 million and EBITDA of USD 27.7 million.
