Oriental Hotels to merge with Indian Hotels Co. in all-stock deal

Chennai-based Oriental Hotels, which owns several Taj-branded properties, is merging with Mumbai-based Indian Hotels Company in an all-stock transaction. The proposed scheme of arrangement involves a share exchange ratio of 25 Indian Hotels Company shares for every 117 Oriental Hotels shares. The transaction would be completed by the second half of FY2028.Founded as an associate of Indian Hotels Company, Oriental Hotels operates a portfolio of seven hotels comprising 825 rooms, including freehold assets such as Taj Coromandel in Chennai, Taj Fisherman’s Cove Resort & Spa in Chennai, and Gateway Coonoor, as well as various long-tenure leasehold assets.
In Nov 2008, Indian Hotels Company had attracted about USD 12 M from Elevation Capital.For FY26, Indian Hotels Company reported about INR 5,380 Cr in Operating Income and about INR 2,012 Cr in PAT.
