SAMIL to acquire Germany's Dr Schneider Group for $131-M

Publicly listed Samvardhana Motherson International Limited (SAMIL), via its 100% subsidiary Samvardhana Motherson Automotive Systems Group BV (SMRPBV), is to acquire assets and shares of the Dr. Schneider Group entities from the insolvency administrator at an enterprise value of EUR 118.3 million (about USD 131 M). The estimated enterprise value for assets purchased in Germany subject to certain actualisations is EUR 69.1 million and EUR 49.2 million for shares of overseas subsidiaries. Overall Equity value is expected to be in the range of EUR 70-80 million along with financial debt of not more than EUR 20 million. Dr. Schneider Group manufactures high-end integrated electronic interior polymer components and systems, such as smart surfaces and lighting modules. It is a player in air-vents, decorative interior polymer components with illumination and has a strong presence in premium vehicles. The firm employs approx. 4,500 people in 7 facilities across Germany, Spain, Poland, USA, and China. The group had reported a turnover of EUR 472 million in CY22
