FMCG co. Emami to acquire 60% stake in personal care player IncNut Digital for Rs.321-Cr

Listed, Kolkata-based FMCG firm Emami is to acquire a 60% stake in Hyderabad-based IncNut Digital for Rs.321 crore in cash. The transaction involves the acquisition of shares on a fully diluted basis, subject to adjustments based on second-year performance. Emami plans to acquire the remaining stake in two tranches over the next four-and-a-half years. Following the transaction, IncNut Digital and its subsidiary, IncNut Lifestyle Retail, will become subsidiaries of Emami.IncNut Digital operates in the personalised beauty and personal care segment. The company uses data-driven personalisation and scientific formulation to provide customised skincare and haircare solutions. Its brand Vedix integrates Ayurvedic principles with data analytics, while another brand SkinKraft uses a dermatology-led approach with clinically validated ingredients.
In Mar 2020, Incnut Digital had attracted about USD 4 M from RPSG Capital Ventures.For FY25, Incnut Digital had reported about INR 174 Cr in Operating Income and about INR 30 Lakhs in PAT.
