InvAscent to invest Rs.243-Cr in RPG Life Sciences’ API spin-off

Healthcare-focused PE firm InvAscent is to invest in the active pharmaceutical ingredients (API) spin-off business of publicly listed, Mumbai-based RPG Life Sciences. Under the deal, RPG Life Sciences, will transfer its API business to a subsidiary, RPG Active Pharma Ltd (RPGAP), on a slump-sale basis. InvAscent will make an initial investment of up to Rs 243 crore in the new entity. Over time, RPG Life Sciences and InvAscent have agreed to invest up to Rs. 700 crore in RPGAP in tranches.RPG's API business had generated Rs 95.06 crore in FY26, accounting for approximately 13.5 percent of RPG Life Sciences’ consolidated revenue. Khaitan & Co served as legal advisor to the RPG Group for the investment.Concurrently, RPGAP is to acquire a 100% stake in Visakhapatnam-based Actis Generics Private Limited for Rs 80 crore in an all-cash deal. Actis Generics had reported a revenue of Rs 48.2 crore in FY25. o3 Capital acted as the exclusive financial advisor, Quillan Partners served as legal counsel, and Deloitte provided financial due diligence for the acquisition of Actis Generics.
