Warburg Pincus to acquire cod liver oil capsule seller Universal NutriScience for Rs.2,800-Cr

Warburg Pincus has emerged as the frontrunner to acquire Mumbai-based Universal NutriScience (UNS) , the manufacturer of the cod liver oil capsule brand Seacod, in a transaction valued between INR 2,700-Cr and INR 2,800-Cr. The deal is expected to result in the exit of all existing investors, including Kedaara Capital, the founding Tannan family, and minority shareholders.Universal NutriScience was established in 2021 as a partnership between Kedaara Capital and Universal Medicare, following their joint acquisition of 16 nutraceutical brands from Sanofi India. The company maintains a portfolio that includes brands such as Seacod, ECod, CoQ, Primosa, and Collaflex. The firm’s revenue is projected to reach INR 340-Cr in FY 2027, with an estimated Ebitda of INR 110-Cr.Warburg Pincus intends to use this acquisition to build a scaled domestic pharmaceuticals platform by integrating various small- and mid-size companies. This strategy focuses on expanding into complementary segments, including women’s health, orthopaedics, and other specialty therapies.

In Jun 2021, Universal Nutriscience had attracted funding from Kedaara Capital, Others.For FY25, Universal Nutriscience had reported about INR 229 Cr in Operating Income and about INR 42 Cr in PAT.
