Bajaj Auto acquires controlling stake in Austrian bike maker KTM for Euro 800-M

Publicly listed Bajaj Auto Ltd has announced the completion of its acquisition of a majority stake in Austrian bike maker KTM , in a Euro 800 million (INR 7,765 crore) transaction. Completed on November 18, 2025, this transaction involved Bajaj Auto International Holdings BV (BAIH) arranging a debt funding package of Euro 800 million to facilitate the ownership shift.Prior to this transaction, Bajaj Auto, through its wholly-owned subsidiary BAIHBV, held a 49.9 per cent stake in its associate, Pierer Bajaj AG (PBAG) in Austria. Pierer Industrie AG held the remaining controlling stake in PBAG. PBAG, in turn, held approximately a 75 per cent stake in its subsidiary, Pierer Mobility AG (PMAG), which is the holding company of KTM AG. This structure meant Bajaj Auto effectively held a 37.5 per cent interest in PMAG/KTM. BAIH now holds 100 per cent of PBAG's total shareholding (post acquisition of all 50,100 shares of PBAG from Pierer Industrie AG), and through PBAG, will hold 74.9 per cent in PMAG/KTM.
