Maternity products seller FirstCry’s parent to acquire KA Hygiene in Rs 58-Cr share swap deal

Pune-based Brainbees Solutions, the parent company of FirstCry, via its subsidiary, Swara Baby, will acquire Dhar, Madhya Pradesh-based K.A. Enterprises (Hygiene) for INR 57.74 crore. The acquisition will be financed through a share swap transaction. Swara Baby will issue 3,849,572 equity shares to the existing shareholders of K.A. Enterprises (Hygiene).The acquisition is part of Brainbees Solutions' strategy to expand its presence in the hygiene products sector. Following the share issuance, Brainbees Solutions' stake in Swara Baby will adjust from 87.29% to 75.92%.K.A. Enterprises (Hygiene), incorporated in 2019, manufactures and trades hygiene products, having recently integrated the business operations of a related entity within the same segment.On a consolidated basis, K.A. Enterprises (Hygiene)'s hygiene business recorded revenues of INR 84.01 crore in FY25, compared to INR 80.42 crore in FY24 and INR 58.45 crore in FY23. The firm reported a profit after tax of INR 5.22 crore in FY25.
