Vijaya Diagnostic Centre to acquire Pune's P H Diagnostic Centre for Rs.148-Cr

Hyderabad-headquartered, publicly-listed Vijaya Diagnostic Centre Ltd will fully acquire Pune-based PH Diagnostic Centre Pvt Ltd for INR 134.65 crore in an all-cash deal. Additionally, INR 12.85 crore will be infused into it by way of either equity or loan to pay existing debt. The target company had reported revenue of INR 41.63 crore for FY23. PH operates an integrated diagnostic centre in Pune. It has three 'hub centres' equipped with advanced radiology like MRI/CT, and another three 'spoke centres' equipped to carry out basic radiology services like ECG, X-ray and ultrasound, and a few collection and franchise centres. Veda Corporate Advisors was the advisor to PH Diagnostics. For the buyer, Deloitte did the Financial & Tax Diligence while Price Waterhouse & Co. LLP did the Transaction Structuring and JSA Advocates & Solicitors did the Legal Diligence on the deal.
